Terms of Use

1. Agreement to these Terms

These Terms of Use govern access to and use of ForgeOne™, a business operations platform provided by ForgeOne CRM LLC ("ForgeOne," "we," "us," or "our"). By creating an account, accepting an invitation, or using ForgeOne, you agree to these Terms on behalf of yourself and, when applicable, the company or organization you represent.

You must be at least 18 years old and legally able to enter into a binding agreement. If you use ForgeOne for an organization, you represent that you have authority to bind that organization.

2. Accounts and organization administration

You are responsible for providing accurate account information, maintaining the confidentiality of login credentials, and promptly notifying us of suspected unauthorized access. Organization administrators control membership, roles, permissions, branding, records, and access within their company workspace.

Actions taken through an authenticated account are treated as authorized actions of that account unless you promptly report unauthorized use.

3. Permitted business use

ForgeOne is intended for legitimate business operations, including customer relationship management, sales pipelines, job management, documents, estimates, contracts, production, invoicing, reporting, and related workflows.

You may not use ForgeOne to break the law; infringe another party's rights; distribute malware; probe or disrupt security; bypass access controls; scrape the service at unreasonable volume; impersonate another person; upload unlawful or harmful content; or interfere with another organization’s workspace.

4. Your data and responsibilities

You retain ownership of customer, employee, project, claim, photo, document, and other content submitted to ForgeOne ("Customer Data"). You grant us a limited right to host, process, transmit, back up, and display Customer Data only as needed to operate, secure, support, and improve the service.

You are responsible for the accuracy, legality, permissions, retention requirements, and appropriate use of Customer Data. You must obtain any notices, permissions, or consents required before entering another person’s information into ForgeOne.

5. Professional judgment and industry compliance

ForgeOne is a workflow and recordkeeping tool. It does not provide legal, accounting, tax, engineering, safety, insurance-adjusting, public-adjusting, estimating, code-compliance, or other licensed professional advice.

You remain responsible for contracts, pricing, estimates, claim communications, construction methods, safety procedures, permits, codes, licensing, employment practices, payment handling, and all decisions made using information stored or generated in ForgeOne. Templates, reports, calculations, automated fields, and suggested workflows must be independently reviewed before use.

6. Electronic records and signatures

ForgeOne may facilitate electronic delivery, approval, acknowledgment, and signature of documents. You are responsible for deciding whether an electronic process is legally appropriate for a particular transaction and for maintaining any records required by law, contract, insurer, lender, customer, or other party.

7. Third-party services

ForgeOne may connect with or rely on third-party services for hosting, email, storage, payment processing, maps, data, or other functions. Third-party products are governed by their own terms and privacy practices. We are not responsible for changes, outages, or actions of third-party providers outside our reasonable control.

8. SMS messaging terms

By voluntarily opting in to the ForgeOne CRM LLC text messaging program, you agree to receive recurring SMS or MMS communications from ForgeOne CRM LLC at the mobile number you provide. Messages may include account and service communications, customer support, reminders, status updates, invoice and payment notifications, document links, and other requested service-related communications.

Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe at any time or HELP for assistance. Consent to receive text messages is not a condition of purchasing or using ForgeOne services. Supported carriers are not liable for delayed or undelivered messages.

9. Fees, subscriptions, and taxes

Paid plans, usage limits, storage allowances, renewal terms, and applicable fees will be presented at purchase or in an order form. Unless otherwise stated, fees are nonrefundable except where required by law. You are responsible for applicable taxes and for keeping billing information current.

We may change pricing or plan features with advance notice. Continued use after a renewal or price change constitutes acceptance of the updated charge.

10. Availability, maintenance, and support

We work to keep ForgeOne reliable and secure, but uninterrupted or error-free operation is not guaranteed. Maintenance, upgrades, security events, third-party outages, internet conditions, and circumstances beyond our control may affect availability.

Support requests may be submitted through the in-app Help & Support center or by email. Response times may vary based on severity, plan, complexity, and support volume unless a separate written service-level agreement applies.

11. Suspension and termination

We may restrict or suspend access when reasonably necessary to protect ForgeOne, users, data, or third parties; investigate suspected misuse; comply with law; address nonpayment; or prevent material harm. We will use reasonable efforts to provide notice when circumstances permit.

You may stop using ForgeOne at any time. Account cancellation, data export, retention, and deletion may be subject to the applicable plan, order form, legal obligations, and our Privacy Policy.

12. Intellectual property and feedback

ForgeOne, its software, interfaces, designs, reports, documentation, branding, and related technology are owned by ForgeOne CRM LLC or its licensors and are protected by intellectual-property laws. These Terms do not transfer ownership of ForgeOne or grant rights to our trademarks other than the limited right to identify the service you use.

If you submit suggestions or feedback, you authorize us to use that feedback without restriction or compensation, provided we do not publicly identify you without permission.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGEONE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS, REPORTS, CALCULATIONS, TEMPLATES, OR INTEGRATIONS WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR EVERY BUSINESS OR TRANSACTION.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGEONE CRM LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL ARISING FROM OR RELATED TO FORGEONE.

OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO FORGEONE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID FOR FORGEONE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

15. Indemnification

You agree to defend and indemnify ForgeOne CRM LLC and its affiliates from third-party claims, losses, and expenses arising from your Customer Data, your violation of these Terms, your unlawful use of ForgeOne, or your infringement of another party’s rights, except to the extent caused by our own unlawful conduct.

16. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Unless applicable law requires otherwise or a separate written agreement states differently, disputes will be brought in the state or federal courts located in Texas, and each party consents to those courts.

17. Changes and contact

We may update these Terms as ForgeOne changes. Material updates may be presented in the application for renewed acceptance. The effective date above identifies the current version.
